Terms and conditions
Terms for using Copycat UI.
Effective date: 29 September 2026
1. Supplier and contract
These Terms are intended to form an agreement between the person or organisation using Copycat UI (“you”) and New Era Investments (Pty) Ltd, Reg. 2026/675069/07 (“New Era Investments”, “we”, “us”). Copycat UI is a product of New Era Investments, which operates the service. General, support, and legal enquiries can be sent to support@copycatui.com. Copycat UI is not currently registered as a South African VAT vendor.
The service is a hosted workspace for managing product UI strings, manual translations, JSON catalogs, team access, read-only project catalog APIs, and optional use of project strings in Figma text layers. These Terms should be read with the Privacy Notice and Cookie Notice.
2. Acceptance and authority
These Terms apply when you affirmatively accept them while creating an account, completing invitation registration, or responding to the current-terms prompt for an existing account. If you use Copycat UI for an organisation, you confirm that you have authority to accept these Terms for that organisation. If you lack that authority, you accept them only for yourself.
The service records the authenticated account, exact Terms and Privacy Notice versions, acceptance statement and method, server time, registration source, IP address, and browser user-agent as acceptance evidence. Paid subscriptions also require a separate, plan-specific recurring-charge authorization before Paystack Checkout.
3. Eligibility
You must be legally capable of entering this agreement and must provide accurate account information. The product is presented for product teams and business workflows, but the repository does not restrict consumer use or verify age.
4. Accounts and security
You are responsible for safeguarding your sign-in credentials, API keys, devices, and activity performed through your account. Tell support@copycatui.com promptly if you suspect unauthorised access. Do not share an account between people; use workspace invitations and roles instead.
A verified email address is required for protected workspace routes. We may require password resets, email reverification, or other proportionate security steps when needed to protect the service or its users.
5. Service and plan limits
Copycat UI provides workspaces, projects, UI-string records, manual locale translations, flat/nested/multi-locale JSON import and flat catalog export, invitations and roles, read-only catalog API access, and a Figma plugin for applying project strings to text layers. Features may be added, changed, or withdrawn, subject to applicable law and any commitments made at purchase.
The current plan limits are: Free—one workspace, one member, and one translated language per project; Team—one workspace, three members, and two translated languages per project; Pro—one workspace, five members, and four translated languages per project; Business—three workspaces, ten members per workspace, and unlimited translated languages. The source language is included separately. Pending invitations reserve seats. Paid extra seats belong to the workspace selected at purchase; they are not shared between workspaces. All plans include unlimited projects and no key-count limit. Developers who only fetch catalogs using a project API key do not need a member seat.
If a subscription is downgraded below existing use, current data remains available and reductions are permitted, but new workspaces, members, or languages can be blocked until usage falls within the new limit.
6. Prices and taxes
Paid plans are displayed and charged in South African rand (R) through Paystack on a monthly or yearly recurring basis. The current list prices are shown on the Pricing page and the selected recurring amount is shown again before Paystack Checkout.
Team costs R330/month or R3,300/year, Pro R820/month or R8,200/year, and Business R2,400/month or R24,000/year. Each extra seat costs R105/month on Team and Pro, or R119/month on Business. Annual extra seats cost R1,260 or R1,428 respectively: the two-month annual discount applies only to the base plan.
Changes to an existing paid subscription, including extra seats and workspace seat allocations, are scheduled for the next renewal and take effect after successful payment. No prorated immediate charge is taken. Existing subscription amounts remain unchanged unless you authorize a change. Reducing extra seats does not remove members automatically; new invitations may be blocked until usage fits the reduced allowance.
Copycat UI is not currently registered as a South African VAT vendor. We do not charge VAT and cannot issue VAT tax invoices. The checkout total is the amount charged by Copycat UI. If our tax treatment changes, we will update the pricing information and give appropriate notice before an affected charge.
Your bank, card issuer, or payment provider may apply its own exchange rate, foreign-transaction charge, or currency-conversion fee. We do not control or receive those charges.
7. Renewal and cancellation
Paid subscriptions renew automatically each month or year, according to the billing period you select, until cancelled. You can cancel by selecting Free from an active paid plan in Billing. Paystack’s hosted subscription-management page may also offer cancellation; provider-side changes are synchronised to Copycat UI by signed webhooks.
Unless applicable law gives you an earlier cancellation right, cancellation takes effect at the end of the current paid billing period. You retain paid-plan access until that date and will not be charged for a later renewal. Cancellation does not automatically delete your account or Customer Content. You may reactivate the paid plan before the cancellation date.
Where section 14 of the Consumer Protection Act applies to a fixed-term subscription, you may also cancel on 20 business days’ written notice by emailing support@copycatui.com. Any cancellation charge will be limited to an amount permitted by law, and any remaining amount belonging to you will be credited or refunded.
8. Refunds
You may request a full refund within seven calendar days after your first paid subscription charge or a renewal charge by emailing support@copycatui.com.
After that period, payments are generally non-refundable and we do not provide credits for unused time following an ordinary period-end cancellation. We will nevertheless refund duplicate or incorrect charges, charges for a service we did not provide, and any other amount that applicable law requires us to refund.
Refunds are made to the original payment method. Bank or payment-provider processing times may apply. Nothing in this policy limits a cooling-off, refund, cancellation, or other consumer right that cannot lawfully be excluded, including any applicable right under section 44 of the Electronic Communications and Transactions Act.
9. Invoices and receipts
Billing displays the payment date, Paystack transaction or receipt reference, amount, currency, and status returned by Paystack. Paystack may also send subscription invoice and payment notifications to your account email.
Copycat UI is not currently registered as a South African VAT vendor, so the payment history and provider notices are not South African VAT tax invoices and no South African VAT is charged. Email support@copycatui.com if a billing record needs correction or you need a separate ordinary invoice or receipt.
10. Customer content and data responsibility
You keep ownership of the UI strings, translations, descriptions, tags, context links, catalogs, and other material you submit (“Customer Content”). You grant Copycat UI a non-exclusive licence, for as long as reasonably needed to provide the service, to host, copy, transmit, display, format, back up, and otherwise process Customer Content only for operating, securing, supporting, and improving the contracted service and meeting legal duties.
You must have the rights and lawful basis needed to upload and share Customer Content. If it contains personal information, you are responsible for the notices, instructions, permissions, and data-subject rights that apply to your role. Do not place passwords, private keys, full payment-card details, government identifiers, special personal information, children’s information, or other highly sensitive data into general string or context fields without an express written agreement and suitable safeguards.
Copycat UI provides a manual translation workflow and does not promise that Customer Content or translations are accurate, complete, lawful, or suitable for a particular regulated use. You must review content before publishing or relying on it.
11. Acceptable use
You must not, and must not help another person to:
- use the service or Customer Content unlawfully, fraudulently, deceptively, abusively, or in a way that infringes privacy, confidentiality, intellectual-property, personality, or other rights;
- upload malware, malicious links, unlawful discrimination or harassment, sexual exploitation material, or content that creates a credible risk of harm;
- probe, attack, overload, scrape, bypass, disable, or interfere with access controls, App Check, rate limits, plan limits, security features, or another user’s access;
- gain unauthorised access to accounts, workspaces, projects, APIs, data, source code, or infrastructure, or use credentials or API keys without permission;
- reverse engineer or copy protected parts of the service except to the limited extent that applicable law does not allow that restriction;
- use the service to send spam or unsolicited direct marketing, impersonate another person, or misrepresent an affiliation; or
- resell, sublicense, or provide the service as a bureau service unless a written agreement permits it.
A separate acceptable-use page is not currently necessary because these rules fit the present private workspace product. Reassess if public sharing, community content, high-volume public APIs, AI generation, or a marketplace is introduced.
12. Workspaces, roles, invitations, and member removal
Workspace owners control membership, invitations, and roles. A member may be limited to Strings, Locales, and Integrations, or may receive Developer or workspace-administration access. The owner alone manages Billing. Invited users must use the invited email, and invitation links are confidential and time limited.
Removing a non-owner member removes only that person’s access to the selected workspace. It does not delete their Copycat UI account or affect their memberships in any other workspace.
Workspace owners must use role and removal powers fairly, for authorised workspace administration only, and must not assume that these Terms make them the owner of another person’s account or information.
13. API keys and integrations
Project API keys provide read-only access to non-deprecated source or translated catalog values for the selected project. Anyone with a valid key can retrieve that catalog without an interactive login. Store keys as secrets, limit where they are installed, rotate or revoke them when exposure is suspected, and avoid putting confidential information in API-served catalog fields.
The full API key is shown only at creation; Copycat UI stores a one-way hash and identifying prefix. Revocation stops future authorised use, but it cannot recall copies of data already retrieved.
The Figma plugin connects to one project using a short-lived, single-use code and a project-scoped session. The person who creates the connection may revoke it from Integrations, and disconnecting inside the plugin revokes that plugin session. You must not connect the plugin to a project or use project content in a Figma file unless you are authorised to access both.
Applying a string replaces the complete contents of each selected Figma text layer and may replace character-range formatting. Refresh affects only layers carrying a valid Copycat binding for that project; missing, unapproved, deprecated, or locked content is skipped instead of cleared. You remain responsible for reviewing the resulting text, typography, layout, and translation before relying on or publishing a design.
Figma controls its editor, plugin environment, files, accounts, and availability under its own terms. Revoking a Copycat connection stops later catalog requests but does not recall string content or binding metadata already written into a Figma file.
14. Suspension and termination
We may proportionately limit or suspend access where reasonably necessary to investigate a security incident, protect users or infrastructure, comply with law, address non-payment, or stop a material breach of these Terms. Except where urgent action is necessary, we should give notice and a reasonable opportunity to cure a remediable breach.
15. Account deletion and workspace handoff
An account owner may delete owned workspaces and their projects, strings, translations, API keys, and related Figma plugin pairing and session records, or transfer owned workspaces before account deletion. Inviting a new administrator keeps the outgoing account active until the new person registers and verifies their email. Deleting or transferring also stops renewal of an active Paystack subscription and removes the outgoing user from other workspaces. Account or workspace deletion does not remove string content or binding metadata already written into Figma files.
Deletion cannot guarantee immediate removal from vendor backups, security logs, invoices, or records that must lawfully be retained.
16. Copycat UI intellectual property
Copycat UI and its licensors retain rights in the service software, design, branding, documentation, and other material that is not Customer Content. Subject to these Terms, you receive a limited, non-exclusive, non-transferable right to use the hosted service for your internal product-copy and localisation workflow during your account or subscription term.
If you give voluntary product feedback, you permit us to use it without restricting your Customer Content or identifying you publicly without permission.
17. Availability, warranties, and liability
We aim to operate the service with reasonable care and skill, but online services can experience errors, interruptions, security events, or data loss. Keep appropriate exports and do not rely on Copycat UI as the only copy of critical content. No statement in these Terms excludes a warranty, remedy, or liability that the CPA or another applicable law does not allow us to exclude, including liability that cannot be excluded for gross negligence.
18. Third-party services
Firebase/Google Cloud, Google Analytics, reCAPTCHA Enterprise, Paystack, Resend, and Figma provide or operate material infrastructure, payment, communication, analytics, security, or integration environments used with the service. Their own terms and privacy practices may apply when you interact with their services, but that does not remove any responsibility that Copycat UI has under applicable law. We are not entitled to bind those providers or promise their uninterrupted availability.
Context URLs and Customer Content may link to third-party sites. You are responsible for deciding whether to follow or include those links.
19. Complaints and disputes
Please send a complaint first to support@copycatui.com, with enough detail for us to investigate. We should try in good faith to resolve it before formal proceedings, without preventing urgent relief or a complaint to a regulator.
South African law governs these Terms, subject to mandatory protections that apply to you.
20. Changes and notices
We may update these Terms for legal, security, operational, or service changes. A new effective date will be shown. Material adverse changes should be notified in advance through an appropriate in-product or email message, and fresh acceptance should be obtained where required. Changes will not retrospectively remove accrued rights.
When the configured Terms version changes, signed-in users are routed to a fresh acceptance prompt before protected service use. We may also send notices to the email address on file, and you must keep that address current. Notices are effective when sent, even if not received.
21. General
If a provision is unlawful or unenforceable, it should be limited or removed only to the extent necessary, without affecting the rest. A failure to enforce a provision is not a waiver. You may not transfer this agreement without consent where the transfer would materially affect our risk; we may not transfer it in a way that unlawfully reduces your rights.
These Terms, the Privacy Notice, the Cookie Notice, the plan and checkout disclosures, and any signed order form are intended to record the agreement for the service. No other terms, representations, or promises are part of the agreement unless expressly included in writing.
